Shareholder info - Rangers FC plc to be renamed

Most of you who are shareholders will have received these letter too, saying that The Rangers Football Club plc will be renamed (the majority shareholder has already agreed) as "RFC 2012 plc". Nothing to do with Sevco, yet, Sevco Scotland Limited will have a name-change to The Rangers Football Club Limited essentially simultaneously.

 

My question, why is there need to change the oldco's name to a new one, if - should that happen - it will get liquidated anyway sooner or later?

The liquidation of the Oldco could take months (possibly longer....). Changing the name allows the Sevco to take on a more suitable name, similar to the previous.

 

On a slight side note, if Sevco officially become "The Rangers Football Club Limited", will that then match the name above the blue gates @ Ibrox???

Because Sevco can't change their name to The Rangers Football Club Limited while 'oldco' is still called The rangers Football Club plc

Well, plc means "Public Limited Company", so a simple "Limited" would not cross that? Well, if they see need to do this, it is probably right. But it makes you wonder nonetheless.

It's not even that simple, they are not supposed to similar in name. Can't mind where I read the article about it but I will try and find it.

 

Renaming Sevco

Mr Green has also made clear that he wishes Sevco to trade as “The Rangers Football Club”. Whilst Sevco can trade under that name, it being part of the intellectual property acquired from D&P, he cannot rename Sevco as “The Rangers Football Club PLC or The Rangers Football Club Ltd, as there is still in existence a legal entity by that name. It will require the process of liquidation to be completed, or for the liquidators to consent to such a change of name before the corporate body, now Sevco, can take on the same corporate name as the former owner of Rangers FC. That re-naming however does not mean that Sevco is a continuation of the former Rangers PLC. Legally, they are totally separate, although the plan is to be of the same name, carrying out the same business, from the same address and with the same customers!
