Shareholder Information WRITTEN BY RANGERS FOOTBALL CLUB Rangers International Football Club PLC (RIFC) Shareholder Information In accordance with S.793 of the Companies Act 2006 (S. 793), RIFC has written to certain parties whom it knows or has reasonable cause to believe are interested in RIFC’s shares requiring information about the nature of those interests. The undernoted parties have not responded to the requests in respect of the holdings shown after their names in brackets: Blue Pitch Holdings (4,000,000), Putney Holdings Limited (700,000), ATP Investments Limited (2,600,000); and Norne Anstalt (1,200,000). The total number of shares affected is 8,500,000 (c. 10.4% of RIFC’s total issued share capital). Article 15.5 of RIFC’s Articles of Association states that, where its board of directors (the Board) is satisfied that any person appearing to be interested in shares has been duly served with a notice under s793 of the Companies Act 2006, and is in default of providing RIFC with the information required, the Board can, in its absolute discretion, at any time thereafter by notice to such member direct that: a. the member shall not be entitled to vote at a general meeting either personally or by proxy or to exercise any other right conferred by membership in relation to meetings of RIFC in respect of such shares; b. Except in a liquidation of RIFC , no payment shall be made of any sums due from RIFC for such shares and RIFC shall not meet any liability to pay interest on any such payment; c. No other distribution shall be made on such shares; and d. No transfer of any of the shares held by such member shall be registered unless: (i) The member is not himself in default in supplying the information requested and the transfer when presented for registration is accompanied by a certificate to the effect that the member is satisfied that no person in default as regards supplying such information is interested in any of the shares which are the subject of the transfer; or (ii) The transfer is an approved transfer. In brief, the above restrictions affect the right to vote the affected shares, the right to receive payments or distributions in respect of the affected shares and the right to transfer the affected shares. Agree about the front three, Waghorn I can forgive and hope he comes good with more time. Templeton and McKay are wingers and too slight, which is not enough for 4-3-3. We need a stronger presence to play up front, ideal would be Jamie Murphy [sheffield United] and Dallas [brentford], though perhaps would cost too much. -

RANGERS under-20s jetted out to Northern Ireland this morning ahead of their match with Ballymena at the Showgrounds this evening. The game with the Sky Blues is the first in a two-game tour for the side, with a match against Coleraine following on Friday night. Playing against two NIFL Premiership teams will be a stern test for the youngsters, but having defeated older, experienced sides in Tynecastle and Arbroath 6-0 and 5-0 respectively already in this pre-season, Head of Academy Craig Mulholland explained the thinking behind playing first-team sides. He said: “What we’re trying to do in the Academy is get the players a challenge. The two games will be against men at first team level, the same as our matches against Tynecastle, Arbroath and our upcoming game with Annan are. “That’s the challenge our under-20s need. Rangers boss Mark Warburton: I know fans expect big name signings but I won't rush my Ibrox rebuilding job 08:41, 19 JULY 2015 BY SCOTT MCDERMOTT WARBURTON understands that Gers fans are expecting him to make marquee signings, but insists he won't be rushed into making panic buys. Mark Warburton expects to bring in several new faces to Ibrox MARK WARBURTON knows there is a clamour for new signings at Rangers. Just six days before his first proper match as Ibrox gaffer against Hibs at Easter Road in the Petrofac Cup, he is aware of expectant fans’ demands for fresh talent. But the Englishman hasn’t got to where he is in football – or life – by bowing to peer pressure. Yes, Warburton is eager to add to his squad. And, of course, he’s keen to give supporters quality on the pitch. But if the Ibrox faithful are expecting household names arriving with hefty price tags, they’re set to be disappointed. It’s just not Warburton’s style. And it’s certainly not what made him a success at Brentford in the English Championship. As he surveys his current Murray Park player pool, the Gers boss isn’t yet satisfied. But he won’t bring in bodies for the sake of it just to appease disgruntled fans. He’s far more specific than that. He wants his next acquisition to have ‘swagger’ – a belief in their own ability that will ensure they light up Ibrox. And a quick check on the Brentford side he put together last term will tell you that if Warburton can do it cheaply – with potential future profit – that’s exactly what he’ll do. He said: “I think the fans are looking for players who will come to Ibrox, wear the shirt with pride and produce the style of play and results they want to see. “You could get someone from South America for £5million or you can get the guy from around the corner for five bob. “If the guy round the corner does the job the fans will be happy I’m sure. So our job in terms of recruitment is to find the right players who can do that job. “It is a big job to walk out in front of 45,000 people. That expectation to deliver the goods is a tough ask. That’s why our recruitment and research has to be right. “I need players with a bit of swagger. “He needs to have a confidence to come in here and believe in his ability. “Someone who doesn’t worry about making a mistake. Someone who will enjoy playing here and relish the challenge. That’s the type I’m looking for. “Is the recruitment here different to Brentford? “Not really, because the lads we brought in there still had to go to places like Ewood Park, the City Ground and Carrow Road. Those are big clubs and Brentford went to these grounds as an underdog. So our young players had to deal with playing in front of 25,000. “You either crumble under the challenge or you relish it. Thankfully they relished it. “Everyone asks if we’ve got good enough players here to do what we did at Brentford. “But we signed those boys when no-one knew who they were. Our left back Jake Bidwell was 18 but he’s now 21 with more than 160 league games under his belt. “Adam Forshaw was signed at 19 and was later signed by Wigan Athletic for £4m. “They were young boys, unheard of. Moses Odubajo, James Tarkowski, Jota from Spain. No-one had heard of them. They’re names now but they weren’t a year ago. “That’s down to them, how they applied themselves and the quality of performance they delivered. “But we’ve got some really good players here as well and I can see a similar development with them. “The boys here arehungry and they want to push forward. “When they stop pushing forward, we’ll have a problem and I’ll resolve that. “They’re pro footballers and in any job, you try to impress. “In my previous jobs, when a new manager came in, I worked hard to impress him or her. “The reaction from senior boys here really has been magnificent. “Lee Wallace, Kenny Miller, Darren McGregor and Cammy Bell have been fantastic. And the young ones are a pleasure to work with. “If we can add three or four quality individuals, we’ll be in good shape.” Warburton’s side will go to Easter Road on Saturday still trying to come to terms with what their new manager demands. But he’s determined to take his time and get it right, as he embarks on a three-year plan which he hopes will see the club back in the Champions League. It will all start with a Petrofac Cup tie in Leith and Warburton knows he couldn’t ask for a tougher baptism than against Alan Stubbs’ men. He added: “There is no point lying. We are four weeks in and we still hope to add four or five players in the coming days. “So we could have guys playing against Hibs who have only been in the door for two days. While we want to win the game and the competition, it’s about being patient. “I don’t think anyone will be in better physical shape than us at the moment. But Hibs have players in situ with experience. “It takes time to bed players in. “Our job is to bed in quality players to how we want to play, as quickly as possible. “There might be an outstanding striker but who is a pain off the pitch and destroys harmony in the dressing-room. So we won’t sign him. “Similarly, if there is someone in our academy like that – and there won’t be – I won’t play him. We want players with the right attributes who add that value. I won’t be nonchalant or arrogant but I’ll just be honest. If you’re a liar you’ll need to have a good memory, so just tell the truth. “If it comes back to bite me, fair enough – that’s just the way I see it. “I’ve seen bits and pieces of Hibs and they are a very organised team. “I know Alan from his Everton days and they’ll be fit and hungry, real tough opponents. “Of course they are ahead of us in that their players have been together for a longer period. That will be a benefit to them. So we have to recognise that and try to counter it.” One player they’ll need to counter is Hibs playmaker Scott Allan. And the Championship Player of the Year from last season is still on Warburton’s transfer radar. And he DOES boast the kind of swagger he wants at Ibrox. But he refused to be drawn on a potential move for the midfielder. He said: “Hibs are a good team and I’m sure Scott is a very good player. But it’s not about one player. “If any team is built around one player, that team has a problem. Q. You’ve played two pre-season games so far. Happy? A. Spurs was about trying to bed in a style of play and it was good practice. We were pleased with aspects of the game against Ayr the other night . We created lots of chances and must improve our ratio of taking them but fitness is good. Q. You have Burnley on Tuesday and then straight into Hibs in the Petrofac Cup next Saturday. Are you ready? A. We are a week short in the pre-season programme so the Petrofac and League Cup are games four and five in our pre-season programme . However, that’s not to say we’re going into them with a weakened team. We are going out to win those games but everything is geared towards August 8. Q. Are you almost there, numerically at least, or still short in your squad? A. We’re looking for more players, we hope we’re close on three or four. But we have a good squad now. If we started now we’d have no complaints. Andy Halliday is in the process of signing. He fits our profile. He’s 23 with good experience and an academy education. He came through here as a young player and went away to develop his career and now he’s back. We’re delighted. Q. If you get those three or four would that be the end of it? A. If we can add quality to the squad, within the budget, and add value on and off the pitch, then we’ll do it. We have some good links, we’ll use the loan market and that’s another aspect for us. Q. Are players and clubs receptive to coming here when Rangers are in the second tier? A. It’s not a problem, it’s a discussion point. If it’s the first loan for a player it’s not an issue. If it’s the second loan they will perhaps say they want to move up to a higher level. However, to counter that you have 45,000 at Ibrox and the weight of expectation at Rangers. Q. Do you feel you have signed hungry young guys who want to settle down and improve? A. Yeah, they want to put roots down. Their development has been good. They have gone away, they’ve experienced their first loan, second loan possibly, and now they’re ready to deal with that weight of expectation here and further their careers. I want young, hungry players supplemented by one or two senior guys who can play that mentoring role. Q. Do you anticipate making any marquee signings this summer, perhaps more senior players? A. It depends what you mean by “senior” guys. A senior guy for me, back at my old club, could have been a 21-year-old with 160 appearances and England Under-21 caps. Seniority isn’t age, it’s a number of qualities and attributes. We will look at three or four more and there will be senior guys within that but we are looking at the average age of the squad to be younger and to bed in a squad to hold us in good stead for the next two, three, four years. Q. Are Jason Holt and John Eustace still potential signings? A. Both are around. Jason has come in and done very well. He is an excellent player and we know the situation. John has done well with the physio department. I know him very well. When Derby played with John they won 88 per cent of matches. I hope he will have that same role here but we will talk in a couple of weeks. It must benefit all parties. Q. What about stories Murray Park was looking rundown? A. The term used was it “needs a lick of paint”. That is what I was told. Then you get here and think: “I have come from four or five Portakabins at the (Brentford) training ground and this is magnificent.” It is a huge selling point for players. This is a Champions League training ground. Q. Are you comfortable with the financial backing you have received so far from your board? A. Every player we have gone for so far, we have secured. It is great to have that level of support. Our job is to go to the powers-that-be with players who offer value, not short-term fixes. Q. Is it unrealistic for Rangers to spend £1million on a player these days? A. If I put the case forward that it was the right thing to do, great. Again, you have to think about words like “harmony” and “unity” within the squad. We build our season around those type of attributes. Q. Is it quality against quantity? A. It is always about quality, not quantity. If I can’t get the right players we are happy with what we have. We have a really good squad with an outstanding work ethic and commitment. Players aren’t lacking confidence. They want fresh blood to come in who can boost their chances of winning trophies. Q. How do you assess the quality and reaction of the squad you’ve inherited? A. I was conscious the disappointment of last season could overhang pre-season. Our job is to make clear the standards we expect. The reaction of the squad has been outstanding. The unity is first class. Q. How have fans reacted to you when you’ve been out and about in town? A. I’ve been in the city once. I wore my glasses and sports cap and I was all right, I got away with it! Seriously, I have been there once. It has been a busy time – life at the moment is the hotel room, shower, bed, Murray Park. Q. Will you move the family here? A. Not at the moment. I have an apartment I’m moving into and they’ll come up for that. Once I’m into the apartment then you are a bit more settled. Q. Have you had a chance to see any other pre-season games in Scotland? A. I’m going to a game this weekend but our focus is here. I was amazed at the reaction to the draws for the various cups. Without being disrespectful, I don’t care. It’s purely about Rangers. As long as we prepare and train well, just worry about us. Q. Are you ready for people making snap judgments on you as manager? A. No. I’d be lying if I said I was. I’ve come from a smaller club but their fans were equally as passionate about what they wanted. The more information you can give to the fans, the better. I’m told: “Don’t give too much.” I disagree. Make them feel part of what we’re doing. Q. What’s your message to fans who may be anxious about the absence of a marquee signing? A. I’d ask them to name one Brentford player we brought in. We were a smaller squad on a tighter budget and it’s our job to get value for money. Just because you spend £1m-£2m doesn’t mean you’ve got value for money. I’d say to fans: “Judge us later, be patient with us.” I’m sure they’re demanding supporters but I hope they see some differences. Q. But that needs trust? A. Absolutely. They have to know we are working hard. That’s why I speak about communication. If they don’t know what’s going on, tell them what we are doing, show them how hard the players are working – double sessions every day and gym work. You have to be the best you can be. If not, you get found out. This badge does not win games. I used to say to Brentford players: “We are not playing Leeds United’s history. We are playing 11 players.” We must get the fear factor back. Q. What about the changes to the canteen menu? A. I like mini Mars bars as opposed to big Mars bars. Seriously, we are professional athletes . If you are at the cinema until 11pm and playing the next day you will not be at your best. You need a lean and hungry squad where, if standards drop, you pay the price. Q. Do you have a particular era of Rangers’ history you admire? A. As a kid in North London there were 10 or 12 teams mentioned around Europe and Rangers were one of them.
