POLL RESULT: RIFC EGM 2025 Dear Contributor, Over the past week, Club 1872 Contributors voted on the resolutions for the RIFC EGM 2025. The results are as follows. 1. THAT, the directors are generally and unconditionally authorised for the purposes of s551 Companies Act 2006 (CA 2006) to exercise all the powers of the Company to allot shares in the Company and to grant rights to subscribe for or to convert any security into shares in the Company up to an aggregate nominal amount of £1,000,000, provided that: A) (unless previously revoked, varied or renewed by the Company) this authority will expire on 31 December 2025, save that the directors may, before this authority expires, make offers or agreements which would or might require shares in the Company to be allotted, or rights to subscribe for or convert securities into shares to be granted, after its expiry and the directors may allot shares or grant rights to subscribe for or convert securities into shares pursuant to such offers or agreements as if this authority had not expired; and B) this authority replaces all subsisting authorities previously granted to the directors for the purposes of s551, which, to the extent unused at the date of this resolution, are revoked with immediate effect, without prejudice to any allotment of shares or grant of rights already made, offered or agreed to be made under such authorities. For – 91.86% Against – 4.58% Abstain – 3.56% 2. THAT, subject to the passing of Resolution 1, in accordance with s570 CA 2006 the directors are given power to allot equity securities (as defined in s560 CA 2006) of the Company pursuant to the authority conferred by that resolution as if s561(1) CA 2006 did not apply to any such allotment, provided that: (a) this power is limited to the allotment of equity securities up to an aggregate nominal amount of £1,000,000; (b) (unless previously revoked, varied or renewed by the Company) this power will expire on 31 December 2025, save that the directors may, before this power expires, make offers or agreements which would or might require equity securities to be allotted after its expiry and the directors may allot equity securities pursuant to such offers or agreements as if this power had not expired; and (c) this power replaces all subsisting powers previously given to the directors for the purposes of s570, which, to the extent unused at the date of this resolution, are revoked with immediate effect, without prejudice to any allotment of equity securities already made, offered or agreed to be made under any such power. For – 91.09% Against – 5.34% Abstain – 3.56% 3. THAT the Company be re-registered as a private limited company under the Companies Act 2006 under the name of Rangers International Football Club Limited. For – 88.30% Against – 7.12% Abstain – 4.58% 4. THAT, with effect from the Company’s re-registration as a private company, the articles of association appended to this general meeting notice (the New Articles) be approved and adopted as the new articles of association of the Company in substitution for, and to the entire exclusion of, the existing articles of association of the Company. For – 87.79% Against – 6.87% Abstain – 5.34% All the shares held by Club 1872 Shares CIC and Club 1872 Projects CIC will now be voted in accordance with Contributors' wishes. RANGERS have reportedly joined the race to sign Croatian defender Luka Jelenić. SunSport already told you how Russell Martin is closing in on moves for Max Aarons and Kwame Poku, but reports in Croatia now suggest the manager is looking at a new centre-back too. Sign 1 Luka Jelenic playing for NK OsijekCredit: Alamy Jelenić, 25, is believed to be on his way out of his current club Osijek this summer just one year after they signed him from league rivals NK Varaždin for a fee of around €800,000 (£685,000). He made 40 appearances across all competitions last season - 32 in the league as Osijek finished seventh. Jelenić even featured four times on the continental stage but his side failed to qualify for the Europa Conference League after losing on penalties to Zira FC in the third round. The defender still has two years left on his contract after penning a three-year deal last summer but Croatian outlet 24Sata state that he's expected to leave the club in the coming weeks amid growing interest. In the report it's suggested Rangers are set to battle it out with Portuguese club Vitoria Guimaraes for his signature. The 25-year-old was a key player under the manager who signed him, Federico Coppitelli, and current gaffer Simon Rožman - who took over in March. But after failing to qualify for Europe this year, it's likely the club will cash in for a nice profit. It's unclear just how much Osijek will as for, but they are hopeful of securing "serious money" for their prized asset. -

Meeting with Andrew Cavenagh and Executive Team Dear Contributor, Club 1872 is pleased to inform contributors that we held a very positive meeting with new Rangers Chairman and lead consortium member, Andrew Cavenagh, Chief Executive, Patrick Stewart and other senior club executives today. Since John Bennett became chairman in April 2023, Club 1872 has been meeting regularly with Rangers to find a way forward on a proposed funding model which would fit with the club’s strategy and allow renewed investment directly to the club for shares as well as funding key heritage projects of significance to the Rangers support. At each stage of those discussions, progress was made but then delayed by the regularly fluctuating situation with the senior leadership of the club. We have met with three different chairmen and two different chief executives over that time. We sincerely apologise to contributors for our relative silence during this time but we were dealing with those regular changes to the senior decision makers at the club and were mindful of confidentiality considerations and sensitivities in that ever changing landscape - particularly in recent months with a live takeover in play. We welcome this early opportunity to speak to Andrew Cavenagh and outline our funding proposal, the significant funds we have available to invest and to gain an understanding of the priorities of the new owners. We also had the opportunity to discuss the upcoming EGM, the change in the company structure and the investment strategy of our new owners going forward. It is our intention to find a way in which Club 1872 can fit into that strategy that all parties are comfortable with and we were encouraged by our initial talks in that regard. We will now continue those discussions with a view to presenting a proposal to contributors for their consideration in due course. In the meantime we will shortly publish our poll for the upcoming EGM. Club 1872

According to Anthony Joseph. Basel, OH Leuven & FC Cincinnati have expressed their interest in Rangers wingers Ross McCausland.
