  3. I have just looked out some "old correspondence" that may be pertinent to today's news. When Gary Withey parted company with Collyer Bristow, he moved to a company called Segens. At the time, I felt it my moral duty to inform his new employer just exactly what they were taking on. This is the reply I received on April 12th 2012. Dear govan_derriere, Thank you for your e mail. I am not sure why it is that you consider that your status as a shareholder of Rangers football club has anything to do with this practice. Mr Withey is doing some consultancy work for us - entirely unconnected with Rangers or Mr Whyte. We have no other connection with that matter and there is no proper allegation or evidence that Mr Withey has benefited in any way from those matters or acted in any way which has given rise to disciplinary proceedings against him. I appreciate that press coverage may make certain insinuations but so far as I am aware, there have been no findings of any wrongdoing by Mr Withey. It may be that the administrators are better able to assist you in your enquiries since I understand that their practice was acting as advisors to the club on the sale to Mr Whyte in the first place.   4. I have indeed contacted Paul Shackleton many times, but not on this occasion. Mr Shackleton is very courteous but never answers a question directly. I believe that he is "happy" to back the Wigs whatever they do, sadly. I did contact AIM but their response leaves me with little hope that they will pay any attention to the RST letter. I append a part of their response. "Please note that AIM Regulation’s remit does not extend beyond the AIM Rules and Nomad Rules. Accordingly, you will appreciate that in respect of your concerns relating to the Board’s failure to act in the best interests of all shareholders, commercial matters and matters governed by the Companies Act 2006 and/or corporate law (such as directors’ duties and shareholder remedies) are outside of our remit."
  5. The long drawn out Director's meeting with no decision released last night offered us a measure of hope. However, I suspect that frantic behind the scenes deals were in progress to bring Laxey on board. Wonder just what they have been promised? Easdale's block + Laxey + Ashley = 51% of shareholders. Although there are many shareholders, me included, who are unhappy with this deal the Wigs will simply argue that a majority support them.

The Newcastle United owner put forward a financial package on Friday, as did businessman Brian Kennedy. Following overnight discussions, directors agreed to Ashley's offer on Saturday morning with an official announcement expected on Monday. It is understood that, as part of the agreement, chief executive Graham Wallace will step down. English businessman Ashley, who owns 8.29% of the Glasgow club's shares, had called for the removal of Nash and Wallace as part of his offer. Nash resigned as a director on Friday. As it stands, under Scottish FA agreement Ashley is not allowed boardroom influence or more than 10%. But his underwriting of a share issue could take his stake above that threshold if there is not enough buy-in from other investors. Kennedy was involved in an unsuccessful attempt to take over Rangers in 2012 Rangers need a financial injection to cover wages beyond November and Sale Sharks owner Kennedy became a surprise latecomer in the battle for control. In response to the news that Ashley's offer had been accepted by the board, Kennedy said he was "disappointed for Rangers" but would not be commenting further. Former director Dave King had also offered fresh funding to Rangers but could not agree a deal following talks with key shareholder Sandy Easdale and the board. Before returning to his South African business base on Thursday, King issued a statement saying that his group's offer remained on the table and that he was hopeful it would be accepted. In response to news of Ashley's offer, King insisted it did not affect his own bid "in any way". Ashley, who already has control of Rangers' shirt sales and retail division and owns the naming rights for Ibrox Stadium, refused to back King's proposal. Sandy Easdale, who controls a 26% block of shares, also declined to agree to King's proposals. While Ashley is demanding two representatives on the board, King also wanted to choose its chairman. Nash, the former Arsenal and Liverpool executive, had been employed as a financial consultant by Rangers before joining the board in July. Report by Roddy Forsyth in the Telegraph Nash had also approached Brian Kennedy, owner of the Sale Sharks rugby union club, to provide backup emergency funding to see Rangers through to the end of the season if necessary. Kennedy tabled an offer of just over £3 million late on Friday, compared to a similar £2 million offer from Ashley, although the details remain unclear. . . . *It can also be revealed that although Ashley bought the naming rights for Ibrox for £1 from Charles Green in 2012, Nash negotiated an additional clause with him earlier this year to the effect that they would not be activated this season. If, however, Ashley succeeds in getting two of his own people on to the plc board, the clause can be scrapped.   10. Thanks for your holiday wishes. Last night I emailed both Somers again & Paul Shackleton, Nomad. Paul Shackleton has responded but his reply leaves us no further forward. I append his response along with my email for information. Dear G_D, I expect that the AGM date will be announced with the results for the year ending 30 June 2013. Under the Companies Act the AGM has to be held before 31 December 2014. I am sure that Mr Wallace's statement was given in good faith. On September 5th in court, in the case against Imran Ahmad, Rangers QC Alan Summers stated that the AGM to discuss a new share issue was likely to be " September or October this year". When I contacted you on March 3rd, 2014 regarding the overdue submission of annual accounts last year, you replied that “Going forward our intention is that all financial statements should be produced professionally and on time.” As a shareholder, and in the spirit of accepting the accuracy of both statements above, can you, as chairman of RIFC, confirm when the AGM is scheduled to take place please?
