Perhaps so Andy but it comes back to the old chestnut of fiduciary obligation, there are legal restraints put upon a resigning director.

 

From an ACCA document on corporate governance:

 

Where a director has resigned, he or she will still be

subject to certain fiduciary responsibilities towards the

company, so he or she should be careful to conduct

himself or herself carefully. He or she should not act in any

way which could be construed as damaging the company

and, in particular, it is advisable to exercise care not to

make any statements which might all too easily be

interpreted as impugning the integrity of past colleagues

within the company. While bearing these considerations in

mind, it is reasonable to make a statement, perhaps a

letter to shareholders or a press release, announcing the

resignation and the reason(s) for it. While directors do not

have to publicise a reason for resigning, it should be

possible to do so without adverse legal ramification. The

reason should be as accurate as possible.

That ACCA document doesnt prevent Walter from making a factual statement. Further, it would be difficult for the club to sue if what he says is accurate, factual information. Obviously there are exceptions to this, including some things which occur within the boardroom - but Walter should be able to give his own reasons for leaving.

I agree craig but it is a bit of a minefield, your fact may not be my fact.

 

I think Walter needs to make a statement. I was just trying to show that those left behind can use legal threats to make him think twice about the content...

I didn't know about the fiduciary responsibility, but it still seems like a massively bad move from anyone who tried it on.

 

Denying the supporters information and hiding behind some vague legalise would make even Charles' biggest fans think something iffy was going on.
