REPORT OF FIRST MEETING OF RANGERS CIC WORKING GROUP LOUDEN TAVERN GLASGOW 18 FEBRUARY 2014. The meeting was already under way when I arrived just before the appointed hour of 6.00pm. I counted an attendance of 36 people, which means that more than 80% of those who attended the inaugural meeting put themselves forward for the Working Group. Richard Atkinson again had the floor. He said that the CIC should embrace: • All fans’ groups • Fans in no group • High Net Worth Individuals (HNWI) • The 12% of fans with shares (presumably included also in the first two groups) • Institutional Investors • Trading Partners The meeting threatened to degenerate a bit at this point when RST members raised the work they have done in the past and what they saw as lack of support from SDS. However, Richard handled this well and said the CIC was about fans coming together and moving forward. In answer to my question he said that the proposed CIC would not be a plc but would follow the Company Limited by Guarantee (CLG) model (which means that it cannot issue share capital and hence does not need initial capital or a prospectus – both of which are very costly). There was a lengthy discussion about the involvement of HNWI’s. Richard concluded the first part of the presentation by saying that the Working Group: Needs to be disciplined Needs teamwork Has to be a group not a bunch of individuals Those involved need to turn the other cheek and not rise to criticism Is not about “open shop” – not because of trying to keep things secret but because it will create questions and he encouraged those involved not to answer forum questions if they did not know the correct answer; otherwise it would just create more work for him to correct the incorrect answers. RANGERS IS MORE IMPORTANT THAN YOU ARE. The first stage of the second part of the presentation was taken up with a discussion about the name for the organisation. Richard proposed http://www.rangers.coop which had already been registered by SD. However, a number of people expressed concern about the coop brand and a gentleman (I think his name is Ian Gilfillan but I might well be mistaken) proposed Rangersfirst.org which he has already registered and said he was happy to transfer. This was agreed. Web page, FB and Twitter accounts should be up and running in the next couple of days. Discussion moved on to the WORKING PARTIES membership of which would be based on a skills audit to be issued tomorrow: 1. IT 1.1 Internal (communication) 1.2 External (social media) 1.3 Graphics 2. MEMBER SERVICES (getting the message out) 2.1 Marketing/Sales 2.2 Engagement with Members 3. EXTERNAL MEDIA – PR (proposed to use Paul Goodwin of SDS in the short term as a “buffer”). [Personally I am not overly comfortable with that but most people seemed to accept it.] 4. COMMERCIAL 5. LEGAL & COMPLIANCE 6. ACCOUNTING 7. GROUP ENGAGEMENT 8. ADMINISTRATION 9. ENDORSEMENTS There will be 4/5 members in each group out of which Richard anticipates leaders to emerge who will form a Working Group of Leaders. He stressed that it is not a closed shop at this stage, those with relevant skills are urged to come forward. Forums will be asked to provide a dedicated slot for Rangersfirst. Richard concluded proceedings just after 8.00pm by saying that “a lot of people have baggage but this Group is about relationships with each other”. The first meetings of the Working Parties will be next week.

There is absolutely no chance whatsoever of the OBA being repealed; and I am fairly certain that any amendments will seek to strengthen it in the light of all the cases that the Fiscals have lost. -

This is absolutely correct Zappa and was one of the reasons why (even if SDM had not scuppered it) we were going to have difficulty with the original model in 2010. Some people who said they would invest attached all sorts of conditions. However, as I pointed out in my report (according to SD publications) a CIC normally is one vote per share not one member one vote, though Mr Atkinson seems determined to take it down the latter route. At the meeting his answer was just to get the so much per month from them at first and worry about the rest later. I'm not sure that that works. It is possible to have a hybrid CIC where there could be different share classes. One class could be for high net worth investors with specific rights: such as the ability to approve further share offerings and appoint a certain number of directors to the board. Another ‘supporter’ class of shares could be issued to fans directly. The exact balance of rights can be negotiated to fit the circumstances of the Club and the demands of investors. Portsmouth, for example, is not a CIC because under Football League rules it can't be. All clubs have to be companies limited by shares. The club is 75% owned by the Trust and 25% by high net worth fan-investors. I am not certain but I suspect that the same or similar applies in Scotland. It is obviously critical to get this right and therefore it is vital to know who or what the target audience actually is. Personally I am not convinced that the HNW individuals who support our Club actually will put their hands in their pockets in support of fans influence. This aspect is sure to be hotly debated tomorrow. -

If he was not convicted of a criminal offence why did he have to "pay to the Criminal Assets Recovery Account ("CARA") the amount of R8.75 million as contemplated in section 64(e) of Act 121 of 1998" in addition to the " fine of R3 280 000.00 or 984 months (82 years) imprisonment." The Act 121 of 1998 is the South Africa Prevention of Organised Crime Act.

You will not be surprised to learn that that is a point which I have had in mind since the first meeting (and indeed raised in connection with the RST/BR scheme) and will certainly raise tomorrow night. Of course there is an obvious solution but I do not wish to pre-empt the discussion. -

On the OP, instead of back of fag packet calculations, I'd be more likely to be concerned with some actual evidence, which seems in short supply (and, of course, so it should be). I have no idea if or when we might run out of money but I am pretty sure that at the end of the 120 days (around the 19th of April) we will have a plan and an announcement of a share issue to raise somewhere in the region of £15 million, depending on the share price at the time. Wallace said at the AGM ‘However, this funding will only be sought once we have completed a robust business-planning process that will allow us to engage with shareholders and potential investors from the platform of a well thought out strategic plan.’ Unless he comes out with, sorry I made a mistake and we now have an emergency on our hands I would take that over King's interminable ramblings.- 115 replies

Fan INFLUENCE rather than fan outright fan ownership in a Club like Rangers may be a more reasonable and achievable target. -

I have been advised that there were 43 people in attendance at the first meeting but my attempts to establish how many of these were representing groups or orgs and how many (like me) were there in their own right, have thus far been thwarted. Apparently there are "around 20 or so ready to meet tomorrow night (in the Working Group) at the Louden. The meeting will decide the structure of the Working Party and role of specific groups, the conducting of a skills audit to get the right people in the right place and how it is coordinated. The meeting will also look at I.T stuff to get us cracking." More anon.........
